Announcement of Establishment of a Subsidiary and Changes in Subsidiaries

SHIFT Inc. (“SHIFT,” headquartered in Minato-ku, Tokyo, Japan; Masaru Tange, CEO and Representative Director) announced today that it has decided to establish SHIFT Enterprise Consulting Inc. (“SHIFT Enterprise Consulting,” headquartered in Minato-ku, Tokyo, Japan; Tetsuya Hasegawa, Representative Director　and President), and to transfer the shares of the three group companies (consolidated subsidiaries) described below and reorganize the company.

１. Reasons for establishment and organizational restructuring
The IT industry in Japan is at the core of DX (digital transformation), which is transforming the entire industry. In 2025, the existing systems, which have become increasingly complex and black boxed, threaten to undermine international competitiveness. In order to realize a smart society that eliminates waste, SHIFT believes that applying the agile-oriented development approach, which is the domain of SHIFT to date, is an opportunity to provide optimal solutions in response to the conventional challenges of ERP introduction and utilization of companies and organizations and has decided to establish SHIFT Enterprise Consulting in order to realize more efficient service delivery.

In addition, HOPES Corporation (“HOPES,” headquartered in Chuo-ku, Tokyo, Japan; Representative Director and President: Kentaro Uehara), which provides IT consulting, ERP implementation support, system development and other services; ADX Consulting Inc. (“ADX Consulting,” headquartered in Chiyoda-ku, Tokyo, Japan; Representative Director and President: Tetsuya Hasegawa), which provides upstream consulting services such as ERP planning, basic design, etc.; CREIT SOLUTIONS Inc. (“CREIT SOLUTIONS,” headquartered in Minato-ku, Tokyo, Japan; Representative Director and President: Yutaka Arisawa), which has advanced development capabilities and technical expertise in system installation, development, maintenance, and operation in ERP area, are independently operating in ERP market. This organizational restructuring will accelerate decision-making and strengthen skills and will aim to provide solutions through a series of value chains from upstream to downstream.

By establishing SHIFT Enterprise Consulting and establishing a system that encompasses the three companies that are engaged in the ERP businesses, the SHIFT Group believes that it will not only mutually expand its client base and strengthen its technological capabilities, but also establish itself as the most secure ERP vendor.
