Announcement of Acquisition of Careersystems Inc.

SHIFT Inc. (“SHIFT,” headquartered in Minato-ku, Tokyo, Japan; Masaru Tange, CEO and Representative Director) announced today that it has decided to acquire a 100% equity interest in Careersystems Inc. (“Careersystems,” headquartered in Minato-ku, Tokyo, Japan; Hisamu Saito, Representative Director), a provider of software development, building IT infrastructure, maintenance and operation and embedded development.

1. Reason for the acquisition
In order to continuously increase its corporate value, SHIFT has promoted a shift in branding from “SHIFT as a software testing company” to “SHIFT as a sellable service producer” and has focused on contributing to customers’ business growth. As a means of doing so, SHIFT is promoting M&A and capital/business alliances with the aim of accelerating the growth of the SHIFT Group’s businesses and strengthening ONE-SHIFT, a one-stop service that provides a wide range of services to customers in an integrated manner.

Against this backdrop, SHIFT confirmed that demand exceeds the resources of the SHIFT Group. Therefore, SHIFT recognizes that further strengthening system is still its business topic.
Careersystems provides a wide range of services, building, maintaining, and operating foundations and developing applications. As the SHIFT Group, SHIFT recognizes that this area has strong demand, and it believes that the Group needs to further strengthen its ability to provide services.
In addition, SHIFT appreciates the strong technological capabilities of Careersystems. After participating in the SHIFT Group, Careersystems will work to improve the unit price of engineers and to improve the working environment, by not only executing existing projects, but also collaborating sales activities to acquire new projects that are closer to the end-user.
SHIFT also plans to collaborate and strengthen Careersystems’ management base by leveraging the knowledge that SHIFT has developed in collaboration with various Group companies.

SHIFT Group will further accelerate its growth as a group by adding Careersystems. The SHIFT group will continue to devote itselves to responding to all of its customers’ needs through the provision of integrated services.
