SHIFT Inc. (“SHIFT”) hereby announces that SHIFT’s Board of Directors resolved today to pay a year-end dividend to shareholders of record on August 31, 2026, as described below.
The matter is scheduled to be submitted for approval at the 21st Ordinary General Meeting of Shareholders to be held in November 2026.

2. Reason
SHIFT has historically prioritized investments to support long-term business growth, while also recognizing shareholder returns as an important component of its capital allocation policy. Recently, SHIFT has advanced the diversification of financing methods for growth investments, including M&A funded by external capital. As a result, SHIFT has determined that it has built a financial base that enables it to continue necessary growth investments while also providing shareholder returns.
As announced on July 15, 2026 in the “Notice Concerning Changes to Capital Allocation Policy and Revision to Year-End Dividend Forecast (Commencement of Dividend Payments),” SHIFT will pay dividends targeting a dividend payout ratio of approximately 10% of net income attributable to owners of the parent.
Following the finalization of its FY08/26 full-year results, SHIFT has determined a year-end dividend of 4.53 yen per share, representing an increase of 0.43 yen from the previously announced forecast of 4.10 yen, in accordance with the policy described above.
