Notice of the Absorption-type Merger between Consolidated Subsidiaries (Surviving Company, ALH Inc.)

SHIFT Inc. (“SHIFT,” headquartered in Minato-ku, Tokyo, Japan; Masaru Tange, CEO and Representative Director), which supports clients in developing and delivering software services and products that drive sales, is announcing that at a meeting of its Board of Directors held today, it resolved that its wholly owned consolidated subsidiary, ALH Inc. (“ALH,” headquartered in Meguro-ku, Tokyo, Japan; Shoji Hatakeyama, President and Representative Director), will merge with two companies: Crebnet Corporation (“Crebnet,” headquartered in Hirakata City, Osaka, Japan; Masahiro Inoue, Representative Director) and
dataway. systems co., ltd. (“Dataway Systems,” headquartered in Sendai City, Miyagi, Japan; Masashi Takahashi, Representative Director) through an absorption-type merger (hereinafter “the Reorganization”).
As this Reorganization constitutes a merger between consolidated subsidiaries of SHIFT, certain disclosure items and details have been omitted.

1.Purpose of the Reorganization
Crebnet, based in Osaka, provides system development and support services and became a subsidiary of ALH in November 2025. Dataway Systems, based in Sendai, engages in software design and development and became a subsidiary of ALH in December 2025. ALH has positioned both companies as key strategic bases in their respective regions and has strengthened collaboration between them.
Through this Reorganization, ALH will expand its Osaka operations and commence the full-scale launch of its Sendai operations, thereby accelerating the expansion of its business footprint. Additionally, by integrating back-office functions, reducing costs, and advancing the standardization of business processes, ALH aims to further enhance the effective utilization of its management resources.

This is an absorption-type merger with ALH as the surviving company, and Crebnet and Dataway Systems as the dissolving companies.

There will be no issuance of new shares or payment of other consideration for the Reorganization.
