Announcement of Proposals to the 17th Ordinary General Meeting of Shareholders

SHIFT Inc. (“SHIFT,” headquartered in Minato-ku, Tokyo, Japan; Masaru Tange, CEO and Representative Director) announced today at the meeting of the Board of Directors held today, it has resolved proposals to submit to the 17th Ordinary General Meeting of Shareholders to be held on November 25th, 2022.

1. Proposals to Submit
Proposal 1: Partial amendment to the Articles of Incorporation
Proposal 2: Election of six (6) Directors (excluding Directors who are Audit & Supervisory Committee Members)
Proposal 3: Election of one (1) Director who is an Audit & Supervisory Committee Member
Proposal 4: Revision to maximum amount of remuneration for Directors (excluding Directors who are Audit & Supervisory Committee Members)
Proposal 5: Reduction in capital stock
