Announcement of Acquisition of OZsoft Co.,Ltd

SHIFT Inc. (“SHIFT,” headquartered in Minato-ku, Tokyo, Japan; Masaru Tange, CEO and Representative Director) announced today that its wholly-owned subsidiary, ALH Inc. (“ALH,” headquartered in Minato-ku, Tokyo, Japan; Motoya Kobayashi, President and Representative Director) decided to acquire a 100% equity interest in OZsoft Co.,Ltd (“OZsoft,” headquartered in Chiyoda-ku, Tokyo, Japan; Takao Hashimoto, Representative Director and President), a provider of network solution, system solution, system operation, support desk and valuation verification.

1.Reason for the acquisition
ALH, SHIFT’s group company, which provides software development, has been achieving high growth since joining the SHIFT Group by undertaking thorough corporate growth, such as increasing the number of engineers through active recruitment, increasing the unit price for engineer, and improving employee satisfaction through the development of various personnel measures.
Currently, ALH is actively pursuing M&A opportunities in broader areas to expand its services and strengthen its supply structure to achieve further net sales growth.

OZsoft is a development company with strengths in cloud infrastructure design/construction and application development including Java. It has been steadily executing projects with stable technological capabilities. Based on the technological capabilities it has cultivated over the years, it aims to grow further, and now join in the SHIFT Group via ALH.

By welcoming OZsoft, ALH is working to strengthen its supply system. Market size for the projects that needs knowledge in the infrastructural areas and Java in which OZsoft specializes is still large, and demand is expected to increase in the future. OZsoft and ALH will work together to improve each other’s technological capabilities while expanding business as ALH, which has a stable track record in this field.

Having OZsoft on board, ALH and the SHIFT Group will continue to strive to further increase corporate value with the aim of “supporting customers to create sellable software services/ products” with one-stop services.
